1. Agreement to these Terms

These Terms & Conditions ("Terms") govern your use of cookwithromans.com and any related pages, emails, and services (the "Site"), and your purchase of products from ROMAN'S PANTRY, LLC ("Roman’s," "we," "us"). By using the Site or placing an order, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Site.

2. Eligibility

You must be at least 18, or the age of majority where you live, to place an order. By using the Site you confirm you can form a binding contract. The Site is not directed to children under 13, and we do not knowingly collect their personal information.

3. Accounts

If you create an account, you are responsible for keeping your login credentials secure and for all activity under your account. Give us accurate information and keep it current. We may suspend or close accounts that violate these Terms.

4. Orders, pricing, and availability

Product descriptions, images, and prices are provided in good faith but may contain errors. Packaging, color, and appearance may vary. All orders are offers to buy and are subject to our acceptance. We may refuse, limit, or cancel any order, including for suspected fraud, resale, pricing errors, or unavailable stock. If we cancel after charging you, we will refund you. Prices may change at any time before you place your order.

5. Payment and taxes

You authorize us and our payment processors to charge your selected payment method for the order total, including applicable taxes and shipping. You confirm you are authorized to use that payment method.

6. Subscriptions and auto-renewal

If you sign up for a subscription, you authorize recurring charges at the price and frequency shown at checkout until you cancel. We will send you a confirmation with the terms and how to cancel. You can cancel anytime using the manage-subscription link in your order or subscription emails, or by emailing hello@cookwithromans.com; cancellation takes effect before your next billing date if made at least 2 days before it. We will notify you before any price change takes effect.

7. Shipping and delivery

We currently ship within the U.S. only. Orders usually ship within 3–5 business days. If we can't ship within that time, we'll tell you and give you the option to cancel for a full refund. Title and risk of loss pass to you when we deliver the order to the carrier, but Section 8 still covers orders that arrive damaged or spoiled. You are responsible for giving a correct address and for receiving perishable items promptly; we are not responsible for spoilage caused by an incorrect address, delayed pickup, or refused delivery.

8. Returns, damaged, and spoiled orders

Because our products are food, all sales are final and we cannot accept returns. If your order arrives damaged, incorrect, or spoiled, email hello@cookwithromans.com within 48 hours of delivery with your order number and photos. If we confirm the issue, we will, at our option, replace the item or refund it. This is your sole remedy for defective products, to the extent permitted by law.

9. Food safety, allergens, and nutrition

Ingredients, allergen statements, and nutrition information on product packaging control over anything on the Site. Our products may be made in facilities that also process common allergens such as [milk, eggs, wheat, soy, peanuts, tree nuts, fish, shellfish, sesame]. If you have a food allergy or dietary restriction, read the label before eating. Follow all storage and handling instructions, and do not eat any product that is past its date, damaged, or shows signs of spoilage. Content on the Site, including recipes, is for general information and is not medical or nutritional advice.

10. Retail, wholesale, and resale

Products on the Site are sold for personal, non-commercial use. We may limit quantities and cancel orders we reasonably believe are placed for resale. Prices, promotions, and policies at third-party retailers are set by those retailers, and purchases made there are governed by their terms. Wholesale and retail-partner accounts are governed by a separate wholesale agreement; if it conflicts with these Terms, the wholesale agreement controls. 11. Promotions, discount codes, and gift cards

Discount codes have no cash value, cannot be combined unless stated, and may expire or be withdrawn at any time. Each promotion or giveaway may have its own rules, which apply in addition to these Terms. Gift cards never expire, are redeemable only on the Site, are not redeemable for cash except where required by law, and are not replaced if lost or stolen.

12. Intellectual property

The Site and its content, including text, recipes, photos, video, logos, product names, packaging designs, and trademarks, are owned by or licensed to Roman’s and protected by law. We grant you a limited, revocable, non-transferable license to view the Site for personal, non-commercial use. You may share links and recipes for personal use with credit to Roman’s; any other copying, reproduction, or commercial use requires our written permission.

13. Your content and feedback

If you submit reviews, photos, or comments through the Site ("User Content"), you grant Roman’s a worldwide, royalty-free, perpetual license to use, reproduce, edit, and display it in connection with our business, including on the Site and in marketing. We will ask your permission before using your name or likeness in paid advertising. Content you post on third-party platforms, such as social media, is not covered by this license; we will ask before reposting it. You confirm you own the User Content or have permission to share it, and that it is accurate and lawful. We may remove User Content that is spam, offensive, unlawful, infringing, or unrelated to our products, but we will not remove reviews because they are negative. Feedback and ideas you send us may be used without obligation to you.

14. Prohibited uses

You agree not to: use the Site for any unlawful purpose; scrape, crawl, or harvest data from it; interfere with its security or operation; upload malware; impersonate anyone; post false, defamatory, or infringing content; buy products for unauthorized resale; or use the Site or its content to train artificial intelligence models without our written permission.

15. Third-party links and services

The Site may link to or use third-party sites and services, such as payment processors, shipping carriers, and retailers. We do not control and are not responsible for them; your use of them is governed by their own terms.

16. Privacy

Our Privacy Policy explains how we collect and use your information and is part of these Terms.

17. Electronic communications and marketing

By using the Site or emailing us, you consent to receive communications from us electronically, and agree these satisfy any legal requirement that they be in writing. If you sign up for marketing emails or texts, you can unsubscribe at any time using the link in the email or by replying STOP to texts. Message and data rates may apply. Consent to marketing is not a condition of purchase.

18. Disclaimers

THE SITE AND ITS CONTENT, INCLUDING RECIPES, ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT PERMITTED BY LAW, ROMAN’S DISCLAIMS ALL WARRANTIES ABOUT THE SITE AND ITS CONTENT, EXPRESS OR IMPLIED, INCLUDING FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THE SITE WILL BE UNINTERRUPTED OR ERROR-FREE. This section does not limit any warranty on our products that applies under law and cannot be waived.

19. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, ROMAN’S AND ITS OWNERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS OR DATA. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SITE OR OUR PRODUCTS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE PRODUCT AT ISSUE OR $100. These limits do not apply to personal injury or death, to fraud, or to any other liability that cannot be limited by law. Some states do not allow certain limitations, so some of these may not apply to you.

20. Indemnification

You agree to defend, indemnify, and hold harmless Roman’s and its owners, employees, and agents from claims, losses, and costs (including reasonable attorneys' fees) arising from your misuse of the Site, your User Content, or your violation of these Terms or anyone's rights.

21. Dispute resolution, arbitration, and class action waiver

Informal resolution first. Before filing a claim, you agree to email hello@cookwithromans.com with a description of the dispute and try to resolve it with us for 30 days.

Binding arbitration. If we cannot resolve it, you and Roman’s agree that any dispute arising from these Terms, the Site, or our products will be resolved by final, binding, individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, governed by the Federal Arbitration Act. Either party may instead bring an individual claim in small claims court, or seek an injunction in court to stop intellectual property infringement.

Class action and jury waiver. YOU AND ROMAN’S EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. Claims may only be brought individually.

Opt out. You may opt out of this arbitration agreement by emailing hello@cookwithromans.com with your name and the subject line "Arbitration Opt-Out" within 30 days of first accepting these Terms.

Severability. If the class action waiver is found unenforceable for any claim, that claim will proceed in court, not arbitration.

22. Governing law and venue

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law rules. Any claim not subject to arbitration will be brought exclusively in the state or federal courts located in Delaware County, New York, and you consent to their jurisdiction.

23. Termination

We may suspend or end your access to the Site at any time if you violate these Terms. Sections that by their nature should survive (including 8, 12, 13, and 18–24) survive termination.

24. General

These Terms, plus our Privacy Policy and any terms shown at checkout, are the entire agreement between you and Roman’s about the Site. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may. We are not liable for delays caused by events beyond our reasonable control, such as carrier delays, weather, or supply shortages.

25. Changes to these Terms

We may update these Terms from time to time. We will post the new version with a new "Last updated" date, and for material changes we will give notice by email or on the Site. Changes apply to orders placed after they are posted. Continued use of the Site means you accept the updated Terms.
